Investors now are driven by more than financial incentives, leading numerous corporations to weigh in on social and governance concerns through pledges to address environmental issues. Jonathan and Carl discuss the potential for directors and officers (D&Os) liability in these cases. “Looking at 2022, we expect that environmental, social and governance (ESG) issues … will continue to be fertile ground for D&O scrutiny. Of course, with more public statements by corporations about the environment comes additional opportunities for those words to be used against them in litigation.”
